Public offer agreement
1. GENERAL PROVISIONS
1.1. The contractual relationship between the Seller and the Buyer is formalized as a Public Offer Agreement. By clicking the "Place an order" button in the shopping cart on the website https://royalwatt.com, the Buyer, regardless of their status (individual, legal entity, or sole proprietor), agrees to the terms of the Public Offer Agreement, as set forth below, in accordance with applicable international and Ukrainian law.
1.2. The public offer agreement is public, meaning that, in accordance with Articles 633 and 641 of the Civil Code of Ukraine, its terms are the same for all Buyers, regardless of their status (individual, legal entity, or sole proprietor). By fully agreeing to this Agreement, the Buyer accepts the terms and conditions of the order, payment, and delivery of goods by the Seller, as well as liability for defective orders and for failure to comply with the terms of this Agreement.
1.3. This Agreement shall enter into force upon clicking the "Place Order" button, by which the Buyer agrees to purchase the Goods available from the Seller, and shall remain in effect until the Buyer receives the Goods from the Seller and makes full payment.
1.4. To regulate contractual legal relations under the Agreement, the Parties shall select and, where appropriate, apply Ukrainian law. If an international treaty, consent to be bound by the Verkhovna Rada of Ukraine, establishes rules different from those established by Ukrainian law, then the rules of the international treaty shall apply.
2. SUBJECT OF THE AGREEMENT
2.1. The Seller undertakes to sell the Goods on the terms and in the manner specified by this Agreement based on the Order placed by the Buyer on the relevant page of the Website https://royalwatt.com, and the Buyer undertakes to purchase the Goods and pay for them on the terms and in the manner specified by this Agreement.
2.2. The Seller guarantees that the Goods have not been pledged, are not the subject of a dispute, are not under arrest, and are not subject to any third party rights.
2.3. The Seller and the Buyer confirm that the current Agreement is not a fictitious or sham transaction or a transaction concluded under pressure or deception.
2.4. The Seller confirms that it has all the necessary permits to carry out business activities that regulate the scope of legal relations arising and existing during the execution of this Agreement, and undertakes to bear liability in the event of a violation of the Buyer's rights during the execution of this Agreement and the sale of the Goods.
3. RIGHTS AND RESPONSIBILITIES OF THE SELLER
3.1. The seller is obliged to:
- fulfill the terms of this Agreement - fulfill the Buyer’s orders in the event of receipt of payment from the Buyer;
- transfer the Goods to the Buyer in accordance with the sample selected on the relevant page of the Website https://royalwatt.com, placed in the form of an order and under the terms of this Agreement;
- check the qualitative and quantitative characteristics of the Goods during their packaging in the warehouse;
- notify the buyer of a possible additional commission when paying for European orders with cards such as Mastercard, Visa, Visa Electron, Mastercard Electronic, Maestro by informing them.
3.2. The seller has the right:
- unilaterally suspend the provision of services under this Agreement in the event of a breach by the Buyer of the terms of this Agreement.
3.3. Seller:
A business entity from among the entities offering products for purchase on the website https://royalwatt.com. Products are sold according to the uniform agreed-upon rules set forth in this public offer agreement.
4. RIGHTS AND RESPONSIBILITIES OF THE BUYER
4.1. The Buyer is obliged to:
- pay for and receive the order in a timely manner under the terms of this Agreement;
- read the information about the Product posted on the Website https://royalwatt.com;
- Upon receipt of the Product, verify its integrity and completeness by inspecting the packaging contents. If the Product is damaged or incomplete, record this in a report, which must be signed by the person who delivered it to the Buyer, along with the Buyer.
4.2. The Buyer has the right:
- place an order on the relevant page of the Website https://royalwatt.com;
- demand that the seller fulfill the terms of this Agreement;
- to be informed about a possible additional commission when paying for European orders with cards such as Mastercard, Visa, Visa Electron, Mastercard Electronic, Maestro.
5. ORDERING PROCEDURE
5.1. The Buyer shall independently place an order on the relevant page of the Website https://royalwatt.com by adding Products to the virtual shopping cart by clicking the "BUY" button, or by placing an order by email or by calling the phone number specified in the contacts section of the Website https://royalwatt.com.
5.2. Order processing takes up to 2 business days from the date of order placement. If an order is submitted on a weekend or holiday, processing begins on the first business day after the weekend.
6. CONTRACT PRICE AND PAYMENT PROCEDURE
6.1. The price of each individual Product is determined by the Seller and is indicated on the corresponding page of the Website https://royalwatt.com. The price of the Agreement is determined by adding the prices of all selected Products placed in the virtual shopping cart.
6.2. The cost of the Order may vary depending on the price, quantity, or range of goods.
6.3. The Buyer can pay for the order in the following ways:
1) via LiqPay online banking. By Visa or Mastercard credit card.
2) cash on delivery, upon receipt of the Order at the delivery service office in Ukraine or in another country in accordance with the location where the order for the goods was placed.
3) by any other means as agreed with the Seller.
Note. When the Buyer pays for an order with a payment card, an additional fee may be charged by the card issuer. In particular, when the Buyer pays for European orders with a payment card, an additional fee may be charged by Visa, Mastercard, Visa Electron, Mastercard Electronic, or Maestro card issuers. By clicking the "Place an Order" button in the appropriate section of the Website page https://royalwatt.com, the Seller has notified the Buyer of the possibility of charging an additional fee when the Buyer pays for European orders by Visa, Mastercard, Visa Electron, Mastercard Electronic, or Maestro card issuers.
7. TERMS OF DELIVERY OF GOODS
7.1 The Buyer will receive the Product using the selected delivery method. Payment and delivery details are provided on the relevant page of the Website: https://royalwatt.com.
7.2. When delivering Goods to other cities of Ukraine or to the territory of another country, carried out by other Delivery Services (hereinafter referred to as Carrier Companies), the Buyer fully and unconditionally agrees to the Rules for the carriage of goods by these Carrier Companies.
7.3. The Buyer confirms receipt of the Goods and the absence of any complaints regarding the quality of the Goods delivered by the Carriers by signing the consignment note, the Carrier's declaration, or the delivery note upon receipt of the Goods. The Seller, for its part, guarantees shipment of the Goods to the Carrier in the quantity specified and paid for by the Buyer, complete in accordance with the Buyer's Order, and of proper quality.
7.4. If the Buyer is absent from the delivery address specified in the order or refuses to accept the Goods for unjustified reasons, upon delivery by the courier company, the Goods will be returned to the courier company's office from which the Seller originally shipped the Order to the Buyer. The fee for the courier company's services will be deducted from the amount paid by the Buyer for the Goods. The remaining amount will be refunded to the Buyer by email to info@royalwatt.com, specifying the bank account to which the refund should be sent.
The Buyer can clarify any questions that arise during the payment and receipt of the Goods using the contact information in the Contacts section.
8. TERMS OF RETURN OF GOODS
8.1. In accordance with Article 9 of the Law of Ukraine "On the Protection of Consumer Rights," the Buyer has the right to exchange defective goods within fourteen days, not counting the day of purchase, unless a longer period is specified by the Seller. The Buyer has the right to exchange goods subject to the provisions of the law regarding the grounds and the list of goods that are not subject to exchange (return). Books, according to the Law of Ukraine, are not subject to return or exchange. Books with printing defects and mechanical damage are subject to return.
8.2. If the Buyer intends to return the Goods, such return shall be carried out in accordance with the "Return" section of the Website, taking into account the rules and conditions of the carrier or courier in effect in Ukraine or in another country, in accordance with the place of receipt of the Goods, and shall be carried out with the consent of the Seller and at the expense of the Buyer.
8.3. In the event of a printing defect or other defects, the Buyer is obligated to document them in a prepared report of any format. The report must be signed by the Buyer and the person who delivered the Product or by the Seller. If possible, the defects must be documented by photography or video. Within one (1) day, the Buyer is obligated to notify the manager (the Seller's representative responsible for processing the Product order) of the identified defects and arrange for a replacement Product by completing the Product return claim form at https://royalwatt.com.
8.4. The Parties have agreed that in the event of non-compliance with the mandatory requirements of the specified procedure, the Buyer shall be deemed to have received the Goods in proper condition - without any mechanical damage and in full completeness.
9. LIABILITY OF THE PARTIES AND DISPUTE RESOLUTION
9.2. In the event of disputes arising between the Parties regarding the performance of this Agreement, with the exception of disputes regarding debt collection from the Buyer, the Parties undertake to resolve them through negotiations in accordance with the claims procedure. The claim review period is 7 (seven) calendar days from the date of its receipt. For disputes related to debt collection from the Buyer, compliance with the claims procedure is not required.
9.3. All disputes, disagreements or claims arising out of or in connection with this Agreement, including those relating to its execution, breach, termination or invalidity, shall be resolved in the appropriate court in accordance with international and Ukrainian substantive and procedural law.
10. FORCE MAJEURE
10.1. The Parties shall not be liable for failure to fulfill any of their obligations, with the exception of payment obligations, if they prove that such failure was caused by force majeure circumstances, that is, events or circumstances that are truly beyond the control of such party, occurring after the conclusion of this Agreement, and are of an unpredictable and inevitable nature.
Force majeure circumstances include, in particular, natural disasters, strikes, fires, floods, explosions, icing, wars (whether declared or undeclared), riots, loss of goods, delays of carriers caused by accidents or adverse weather conditions, dangers and accidents at sea, embargoes, catastrophes, restrictions imposed by government authorities (including allocations, priorities, official requirements, quotas and price controls), if these circumstances directly affect the performance of this Agreement.
10.2. The Party that is unable to fulfill its obligations under this Agreement due to force majeure circumstances must immediately notify the other Party in writing of the occurrence of the aforementioned circumstances and, within 30 (thirty) calendar days, provide the other Party with confirmation of the force majeure circumstances. Such confirmation shall be a certificate, reference, or other relevant document issued by an authorized government agency located at the location where the force majeure circumstances occurred.
10.3. The time required by the Parties to fulfill their obligations under this Agreement shall be extended by any period during which performance was delayed due to the above circumstances.
10.4. If, due to force majeure circumstances, the failure to fulfill obligations under this Agreement continues for more than three months, each Party shall have the right to terminate this Agreement unilaterally by notifying the other Party in writing.
Despite the occurrence of force majeure, before the termination of this Agreement due to force majeure circumstances, the Parties shall make final mutual settlements.
11. OTHER CONDITIONS OF THE AGREEMENT
11.1. Information provided by the Buyer is confidential. Information about the Buyer is used solely for the purpose of fulfilling their Order (sending a message to the seller about the Product order, sending advertising messages, etc.).
11.2. By accepting the Agreement or registering on the Website https://royalwatt.com (filling out the registration form), the Buyer voluntarily consents to the collection and processing of their personal data for the following purpose: the data that becomes known will be used for commercial purposes, including processing orders for the purchase of goods, receiving information about the order, sending advertising and special offers, information about promotions, sweepstakes or any other information about the activities of the Website https://royalwatt.com via telecommunications (e-mail, mobile communications).
For the purposes provided for in this clause, the Buyer has the right to send letters, messages and materials to the Buyer's postal address, e-mail, as well as send SMS messages, and make calls to the telephone number specified in the questionnaire or Order.
11.3. The Buyer grants the right to process their personal data, including: placing personal data in databases (without further notice), permanently storing, accumulating, updating, and amending the data (as necessary). The Seller undertakes to ensure the protection of data from unauthorized access by third parties and not to distribute or transfer data to any third party (except for transferring data to related parties, commercial partners, persons authorized by the Seller to directly process the data for the specified purposes, and in response to a mandatory request from a competent government agency).
11.4. If the Buyer does not wish to receive the newsletter, the Buyer has the right to contact the Seller by writing a statement of refusal to receive advertising materials, sending it to the postal or email address.
11.5. The Seller is not responsible for the content or accuracy of the information provided by the Buyer when placing an order. The Buyer is responsible for the accuracy of the information provided when placing an order.
11.6 The website https://royalwatt.com permits you to view and download materials for personal, non-commercial use only, provided that you retain all copyright and other proprietary notices contained in the original materials and any copies thereof. You may not modify the materials on this Site, distribute or display them in any form, or use them in any other way for public or commercial purposes. Any use of these materials on other websites is prohibited. The materials are intended for personal use only (including sharing with friends on social media, via email, etc.).
11.7 The materials and services on this website are provided "as is" without warranties of any kind.
